PHAROS is registered as a non-profit corporation [501 (c) 3] in the United States. The association is governed by a Board of Directors that represents each partner institution. An Executive Director reports to the Board, manages daily operations, and attends all meetings, but does not have a vote at Board meetings. The Board also elects executive officers from its membership to govern the Association.
As of 2026, the Executive Team consists of:

- Treasurer: Kraig Binkowski, Yale Center for British Art
- Secretary: Rembrandt Duits, The Warburg Institute
- Executive Director: Stefanie Schneider, Marburg University
